1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement between you ("you") and Lark Brand Studio ("we," "us," or "our") regarding your access to and use of our website, https://www.larkbrandstudio.co.uk (the "Site"), and your purchase of any products or services offered through the Site, including semi-custom branding kits ("Products"). By accessing or using the Site or purchasing Products, you agree to comply with these Terms. If you do not agree, please discontinue using the Site.

We reserve the right to modify these Terms from time to time. Any changes will be communicated by updating the "Last Updated" date at the top of these Terms, and your continued use of the Site constitutes acceptance of the modified Terms. Please review these Terms regularly to ensure you understand the latest version.

2. INTELLECTUAL PROPERTY RIGHTS

All content on the Site, including but not limited to text, images, graphics, logos, and designs ("Content"), is owned or licensed by Lark Brand Studio and is protected under UK and international copyright and trademark laws. By purchasing a semi-custom branding kit, you are granted a non-exclusive, limited license to use the customized elements of the kit for your business, subject to the following conditions:

Each semi-custom branding kit design style will be sold to a maximum of five clients, but it will be customised specifically for your business, including your brand name and custom colour palette.
The customisation involves one day of design work to personalise the kit, ensuring that each version is tailored uniquely to your brand.
The Product is for your personal or business use only, and you may not resell, distribute, or sublicense the branding elements to others.
You may further modify the branding elements for your own use, but you may not claim the original design as your own intellectual property.
We retain ownership of the original design style, and the rights granted to you are limited to the customisation of the design for your brand as outlined above.

This license is for the use of the semi-custom branding kit and its customised elements for your business purposes only, and does not transfer ownership of the underlying design to you. All other rights are reserved by Lark Brand Studio.

3. USER REPRESENTATIONS

By using the Site, you represent that:

You are at least 18 years old or accessing the Site under the supervision of an adult.
Any information you submit to us is accurate and up-to-date.
You will not use the Site for any unlawful purposes or in violation of these Terms.
You will not use automated means (bots, scripts, etc.) to interact with the Site.

4. PRODUCTS

All Products, including semi-custom branding kits, are subject to availability. We reserve the right to limit the number of sales for each Product (up to five per brand-kit) and to discontinue or change any Product at our sole discretion. Prices for all Products are subject to change.

5. PURCHASES AND PAYMENT

By placing an order on the Site, you agree to provide accurate payment and billing information. Payments must be made in GBP, and applicable taxes and shipping fees will be added to the purchase price as required. We accept major payment methods as displayed on the Site. You agree to pay all charges at the prices in effect at the time of your purchase.

We reserve the right to refuse or cancel any order if we suspect fraudulent activity or if there is a pricing error.

6. REFUNDS POLICY

Due to the digital and semi-custom nature of our Products, all sales are final, and no refunds will be issued once the Product is delivered. However, if you encounter any issues, please contact us for support, and we will work to resolve the problem.

7. OWNERSHIP AND USAGE RIGHTS

Upon full payment, you will receive the rights to use the semi-custom branding elements delivered (e.g., logos, colour palettes, typography suggestions) in your business for personal or commercial purposes.

You may not resell, redistribute, or sublicense the branding elements.
You acknowledge that the branding kit is sold to a maximum of five customers and is, therefore, non-exclusive.
You may modify the branding kit for your own use, but you may not claim the original designs as your own intellectual property.

8. PROHIBITED ACTIVITIES

You agree not to use the Site or the Products in any way that:

Violates any applicable law or regulation.
Interferes with the security features of the Site.
Involves unauthorised framing or linking to the Site.
Is intended to defraud, harm, or harass us or any other user.
Attempts to reverse-engineer or replicate any part of the Site or Products without permission.

9. THIRD-PARTY LINKS

Our Site may contain links to third-party websites. These links are provided for your convenience, but we do not endorse or take responsibility for any third-party websites. If you access a third-party website, you do so at your own risk, and we recommend reviewing their terms and privacy policies before proceeding.

10. SITE AVAILABILITY AND MODIFICATIONS

These Terms are governed by UK law. Any disputes arising under these Terms shall be resolved in the courts of the United Kingdom. If you are located outside of the UK, you agree to submit to the jurisdiction of the UK courts for any disputes related to your use of the Site or Products.
